Language versions. This is a translation of the Polish original and is provided for information. The binding version is the Polish one: /pl/legal/terms. That precedence does not deprive a consumer of any right under mandatory provisions of law — including the mandatory provisions of the law of the country of their habitual residence, where the applicable conflict-of-law rules give them that protection — and it does not limit anyone's rights against the party responsible in a given situation (§17.2 and §19.3 of the Terms).
§1. Website operator and contact
- The Vantior Books website is operated by Vantior Group Dawid Pągowski, a sole trader entered in the Polish Central Register and Information on Economic Activity (CEIDG), address of business activity / correspondence: ul. Świętego Mikołaja 8/11/208, 50-125 Wrocław, Poland, tax identification number (NIP) 5263970951, hereinafter "Vantior".
- Primary contact: e-mail contact@vantiorbooks.com. Correspondence address: ul. Świętego Mikołaja 8/11/208, 50-125 Wrocław, Poland. Buyer/product support telephone: +48 511 811 635.
- The Terms set out the rules for using the public website, the customer account, the Library, the reader, the audio player, file downloads and electronic services, as well as the rules for using the Products supplied by Vantior.
- The payment layer may be operated by Paddle as an authorised reseller / Merchant of Record. Details are set out in §7.
§2. Definitions
- Product – digital content or a digital service made available in Vantior Books, in particular an ebook, an audiobook or a set of formats.
- Publication – a published work presented in the catalogue.
- Edition – a specific version of a Publication with a defined set of formats.
- Format – an available way of using the Product, e.g. EPUB, PDF, AUDIO, web reader; the scope is stated on the product page and in the order.
- Library – the part of the account in which Vantior makes the acquired entitlements available.
- Account – a Vantior Books user account.
- Guest – a user making a purchase without first creating an Account, where that option is active.
- Consumer – a consumer within the meaning of the Civil Code.
- Entrepreneur with consumer rights – a natural person concluding a contract directly connected with their business activity, where it follows from the content of the contract that it is not of a professional character for that person, to the extent granted by the applicable provisions.
- Paddle – the relevant entity of the Paddle group indicated to the buyer at checkout and in its terms, acting in the transaction as an authorised reseller / Merchant of Record.
§3. Electronic services
- Vantior provides by electronic means, in particular:
- making pages and the catalogue available;
- operating the Account;
- the Library and entitlement management;
- the web reader and saving reading progress;
- the audiobook player and saving listening progress;
- file download, where the given Format covers it;
- account, privacy and security handling;
- contact forms, submissions and – where active – services for authors/partners.
- Technical requirements: a current browser supporting TLS, JavaScript and the cookies necessary for the session; an internet connection; for downloaded files – a device and a program handling the indicated format. Additional requirements of a specific Product are stated on its page.
- It is prohibited to supply unlawful content, breach security, circumvent access controls, use other people's Accounts, or download data automatically in a way that disrupts the operation of the Website.
- A user may stop using free electronic services at any time, subject to the obligations and rights concerning transactions already concluded, copyright, security and the retention of data required by law.
- Complaints concerning electronic services may be submitted to the address given in §1.
§4. Account and purchase as a guest
- An Account may be created using e-mail/password and – where configured – Google authentication.
- The user is responsible for protecting their access data and should report any suspected Account takeover without delay.
- Vantior may require verification of the e-mail address for higher-risk functions.
- Where guest purchase is available, access to the acquired content may later be assigned to a verified Account under the claim mechanism. The assignment may not be used to take over another person's purchase.
- Vantior may block or restrict an Account in the event of confirmed abuse, fraud, an attack on security or a legal obligation. Unless the law provides otherwise, closing an Account alone may not, without a basis, deprive the user of rights already effectively acquired to a Product.
§4A. B2C and B2B customers and minors
- Vantior Books serves B2C and B2B buyers. Where a transaction is carried out by Paddle, Paddle remains the reseller / Merchant of Record to the extent stated in its current terms, and Vantior remains the Supplier/publisher/licensor and operator of the service.
- The website is a general-audience service and is not directed at children under 13.
- In the target model an account may be available from the age of 13, but creating an account independently, giving consents, making purchases, taking part in marketing, publishing reviews and other legal acts are controlled by country, age and legal basis.
- Where the law of a given country requires the consent or authorisation of a parent/guardian, the function remains blocked until such consent is obtained and recorded. In Poland, where the processing of a child's data in an information society service is based on consent, a person under 16 requires the consent or approval of the holder of parental responsibility/guardianship.
- The privacy threshold alone does not determine the capacity to conclude a contract. For a purchase by a minor, the system must apply the capacity-to-contract rule of the relevant jurisdiction; where it cannot be reliably confirmed, the purchase should be made or approved by a parent/guardian.
- A minor's account has a heightened protection profile by default: no behavioural advertising/marketing profiling, no affiliate programme and no public UGC functions, until a separate legal gate confirms that they are permissible.
- A Product may have a higher minimum age than the account (e.g. 16+ or 18+). The more restrictive product threshold then applies.
§5. The offer and Product characteristics
- Every offer should state before purchase:
- the title, the authors/contributors and the language;
- the price or the way it is finally determined;
- the available formats;
- the functionality, the way it is made available and material technical limitations;
- material compatibility/interoperability;
- information about technical protection measures;
- the delivery rules;
- information about the right of withdrawal and about complaints.
- The user's entitlement covers only the formats stated in the offer and in the order confirmation. Adding a new format or a new edition in the future does not automatically extend an earlier purchase, unless Vantior expressly provides otherwise.
- Vantior provides the updates required by mandatory law, where they apply. Editorial updates, extensions or new editions are not covered by the purchase unless the offer provides otherwise.
- Materials marked QA/TEST/SYNTHETIC do not constitute a production offer.
§6. Conclusion of the contract and the obligation to pay
- Before placing a paid order, the buyer receives, in a clear manner, the information required by law, including the main characteristics of the performance and the total price.
- The final act of placing a paid order is labelled in a way that unambiguously indicates the obligation to pay.
- Until Vantior receives a reliable confirmation of the transaction, the status displayed in the browser, a redirect or the mere closing of the checkout does not yet mean a final confirmation of payment.
- Confirmation of the contract and of the required consents is provided on a durable medium, usually by e-mail.
- Where delivery is to begin before the statutory withdrawal period expires, the consumer statements required by law must be collected before delivery is started.
§7. Paddle as Merchant of Record
- Where Paddle is indicated at checkout, the transactional layer of the sale is carried out by Paddle as an authorised reseller / Merchant of Record. The buyer is given access to Paddle's current terms before payment.
- Within its model, Paddle is responsible for collecting payment, transaction taxes, transaction documentation and refund/withdrawal procedures in accordance with the law and with its own terms.
- Vantior remains the supplier of the Product and of the service: it is responsible for making the content available, for the Library, for the user licence, for the reader/player functions and for product support.
- Problems concerning the content of a Product, the Library, the reader/player and technical access may be reported to Vantior. Buyer/order/billing/after-sales support is routed in accordance with Paddle's current model and with the law; Vantior may accept a report and forward it to the appropriate channel. The scope of Paddle support may not be described in the Terms more narrowly than follows from the current terms required for Suppliers.
- No provision of the Terms limits the consumer's rights under mandatory provisions against the party which bears responsibility in a given situation.
§8. Supply of the Product
- After payment is effectively confirmed, Vantior makes the Product available without delay, unless the offer states a different time.
- Making it available may consist of:
- granting an entitlement in the Library;
- enabling reading in the web reader;
- enabling audio streaming;
- generating a protected download;
- another way indicated in the offer.
- If, for technical reasons, supply does not take place, the user should report the problem. The consumer's rights in respect of failure to supply and of a lack of conformity of digital content remain unaffected.
- Functions for sending to external devices (e.g. e-readers) also depend on the services and settings of third parties; Vantior does not guarantee that the message will be accepted by an external ecosystem, but is responsible for correctly performing its own part of the service.
§9. User licence
- Unless the offer provides otherwise, the user receives a personal, non-exclusive and non-transferable right to use the acquired Product within the scope of normal private use or the buyer's internal use.
- Use on the user's own devices and in the Vantior functions corresponding to the acquired formats is permitted.
- Without separate consent it is not permitted to:
- distribute copies to third parties;
- sell, make publicly available or publish the files;
- circumvent access-control protection measures;
- use the content beyond statutory permitted use and the licence granted.
- The above does not limit statutory permitted use or consumer rights.
- Acquiring a Product does not mean a transfer of economic copyright.
§10. Withdrawal
- As a rule, a consumer has the right to withdraw from a distance contract within 14 days, subject to the exceptions provided for by statute.
- In the case of paid digital content not supplied on a tangible medium, the right of withdrawal may be lost only once the statutory conditions have been met, in particular after express prior consent to the start of supply before the 14 days elapse, information about the loss of the right, acknowledgement of that information and provision of the required confirmation.
- Checkboxes concerning consents may not be pre-ticked.
- Where the conditions for losing the right have not been met, downloading/streaming alone should not be treated as an automatic waiver of the statutory right.
- In the Paddle model, transactional withdrawal/refund is carried out in accordance with applicable law and with Paddle's current policy, without limiting additional rights under the applicable law.
§11. Conformity of digital content and complaints
- Vantior supplies a Product in conformity with the contract to the extent that it is responsible for the Product and for making it available.
- Where digital content/a digital service lacks conformity, the consumer may use the remedies provided for by law, including, in the appropriate cases, demanding that conformity be brought about, a price reduction or withdrawal.
- A complaint may be submitted to contact@vantiorbooks.com. It is advisable to give the data allowing the purchase to be identified, a description of the problem and the expected way of resolving it.
- Vantior replies to a consumer complaint within the period required by law; where the statutory 14-day period applies, failure to reply produces the effects provided for by statute.
- The reply to a consumer complaint is provided on paper or on another durable medium.
- A payment/refund matter may be passed on to Paddle as the transactional seller.
§12. Prices, promotions and personalisation
- The price is presented unambiguously before the order is placed.
- Where Vantior announces a price reduction, it also presents information about the lowest price in the period required by law.
- As at the date of publication of the Terms, Vantior does not adjust prices individually on the basis of automated decision-making. The price depends on the offer and on the country stated by the buyer (the currency and the tax depend on the country), and at any given time it is the same for every buyer from that country, subject to promotions on the conditions in paragraph 4. If the function is implemented, the information required by law will be displayed before purchase.
- Promotions may be limited in time and subject to conditions, which must be available before the promotion is used.
§13. Reviews and recommendations
- Where Vantior makes consumer reviews available, it publishes next to the reviews, or in an easily accessible place, information about whether and how it checks their authenticity.
- The "verified purchase" label may be used only where a real mechanism links the review to a purchase, or another proportionate verification exists.
- Posting or commissioning untrue reviews, and manipulating the presentation of reviews in a misleading way, are prohibited.
§14. Personal data and cookies
- The rules for processing data are set out in the Privacy Policy.
- The rules for cookies/storage and marketing consents are set out in the Cookies and Marketing Policy.
- Marketing consent is not a condition of purchase or of holding an Account, unless a given function consists solely of receiving the ordered marketing communications.
§15. Accessibility
- Vantior operates the website with digital accessibility in mind.
- Where Vantior is subject to the Act on ensuring that certain products and services meet accessibility requirements, detailed information about meeting the requirements and about the accessibility complaint procedure is contained in the "Vantior Books Accessibility Statement".
§16. ADR
- A consumer may use the available out-of-court methods of dispute resolution, including the information published by UOKiK: https://polubowne.uokik.gov.pl/
- Where a dispute is not resolved after a complaint, Vantior will provide, on a durable medium, the statement required by law as to whether it agrees to take part in the relevant ADR proceedings or refuses to take part. If it agrees, it will indicate the competent body.
- No link is given to the former EU ODR platform, which has been discontinued.
§17. Applicable law and disputes
- In relationships where this is permissible, Polish law applies.
- In relation to a consumer, the choice of Polish law does not deprive them of the protection afforded by the mandatory provisions of the country of their habitual residence, where the conflict-of-law rules grant them that protection.
- Court jurisdiction in relation to a consumer is determined by the applicable provisions; the Terms do not impose on the consumer the exclusive jurisdiction of the court of Vantior's seat.
§18. Changes to the Terms
- The Terms may be changed for important reasons, e.g. a change of law, of functionality, of security, of the payment provider or of the service model.
- A change does not affect rights effectively acquired from earlier transactions.
- For continuous services, the user is informed with appropriate advance notice where the law so requires, together with information about the effects and about the user's rights.
§19. Final provisions
- The current version of the Terms is made available free of charge in a way that allows it to be recorded and reproduced.
- The Privacy Policy, the Cookies Policy and the information about digital content, complaints and accessibility are supplementary documents.
- In the event of a conflict with mandatory law, that law applies.
